02The commercial agreement
These Terms of Service govern the commercial relationship when you purchase, subscribe to, renew, or otherwise pay for Pulsatrix, or when you use a commercial (non-tester) licence. By starting a paid plan, purchasing a perpetual licence, or activating a commercial licence, you agree to these Terms.
They work together with the Disclaimer (risk and liability), the Privacy Policy (personal information), and the Refund Policy (money-back rules). If you act for a company, you confirm you may bind it. Disclaimer & Terms of Use · Privacy Policy · Refund Policy
If you are applying for or using early-access / tester access, the Confidentiality and Beta Testing Agreement (NDA) also applies and is accepted electronically on the register form. 03Who we are
The provider of Pulsatrix under these Terms is Pulsatrix Technologies Inc., 3354 Bellefeuille Street, Trois-Rivières, Québec G9A 3Z3, Canada. Legal and privacy contact: privacy@pulsatrix.ca.
04Your licence to use
An annual subscription gives you a non-exclusive, non-transferable licence to use Pulsatrix while the subscription is active. A perpetual licence gives you a lifetime right to use the version you purchased. Both options let you run Pulsatrix on your own infrastructure; neither is a sale of the software itself or its intellectual property.
We may revoke a licence only in cases of genuine abuse, misuse, or material breach of these Terms (see Acceptable use and Suspension), not something a normal MSP would encounter in ordinary use.
A subscription includes the product and updates while active. A perpetual licence lets you keep using the version you purchased for life, but you don’t own the software itself.
05Plans & billing
Pulsatrix is in early access and commercial terms are available on request (Contact us). The two purchase options are an annual subscription, billed yearly with updates included while active, and a perpetual licence purchased once. Every current plugin and feature is included with either option. Perpetual-licence customers may optionally purchase annual software assurance (Contact us for terms). The purchased version remains usable for life whether or not assurance is renewed. Applicable taxes may apply.
Billing is handled by our payment processor (Stripe). You are responsible for keeping billing details current. Refunds are governed by the Refund Policy. Contact us · Refund Policy
06Free package & early access
You may use the Free (Lite) package at no cost and without a credit card to evaluate Pulsatrix. Free includes PSA Lite (read-only ConnectWise tools). Free does not become Paid unless you choose a paid plan. We may also offer early-access tester access under the NDA; that access is separate from Free and from commercial licences.
Early-access applicants must accept the Confidentiality and Beta Testing Agreement (NDA) electronically when they apply. The NDA’s test period, secrecy, and non-use rules apply to that access. These Terms apply when you later buy a commercial licence. Confidentiality
07Updates & maintenance
Product and plugin updates are included while an annual subscription is active. A perpetual licence includes the first year of software assurance where offered, which provides updates during that year. After the included year, optional assurance renewal is available at the published rate. If assurance expires, you keep the lifetime right to use the version you purchased. We recommend staying current because third-party APIs (including ConnectWise) change frequently.
08Acceptable use
You agree not to: resell, sublicense, or redistribute Pulsatrix or its connectors as a competing product; share one commercial licence across separate organizations; circumvent licensing or technical protection measures; reverse-engineer, decompile, or disassemble the software except where the law expressly permits; or remove, alter, or obscure any licence identifier or notice. Each licensed copy is tied to the licensee. One commercial licence covers your organization’s own MSP operations. Using the software unlawfully or to harm others is prohibited.
Stricter non-disclosure, non-copying, and competitive-development restrictions apply under the NDA for early-access access. Those NDA rules do not disappear when you later purchase if you still hold Confidential Information from the beta.
09Your responsibilities
You remain responsible for how you configure and operate Pulsatrix: which actions you gate, the writes you approve, backups, access security, your ConnectWise and vendor tenants, your LLM choices, and compliance with laws and client contracts that apply to you. 10Intellectual property
Pulsatrix, its software, documentation, and marks remain ours (and our licensors’). Your operational data, your configurations, and the work product you create for your MSP remain yours. Nothing here transfers ownership of our software to you, or of your client data to us.
Product feedback you send us may be used to improve Pulsatrix without obligation to you. Feedback rules for early access are also covered in the NDA when you are a tester.
11Warranties & liability
Pulsatrix is provided “as is.” Full warranty disclaimers and liability limits for software use are set out in the Disclaimer and apply to these Terms in full. These commercial Terms do not expand our liability beyond the Disclaimer. Disclaimer & Terms of Use

12Suspension & termination
You may stop using Pulsatrix at any time. We may suspend or revoke a licence for material breach, abuse, or misuse, with notice where practical. If we revoke for cause, your right to use a previously licensed version may end. Provisions that by their nature should survive (ownership, liability, governing law, unpaid fees) survive termination.
13Changes to these Terms
We may update these Terms; the version posted here with its “last updated” date applies. Material changes that affect an active paid subscription take effect at your next renewal unless the law requires earlier effect. Continuing to use Pulsatrix after a change means you accept it for new periods of use.
14Governing law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Courts of Québec sitting in the judicial district of Trois-Rivières have jurisdiction, subject to mandatory consumer or other rights that cannot be waived where they apply.
