01Accepting these terms

By downloading, installing, configuring, accessing, or using the Pulsatrix software, the Command Center application, or any related broker, tool, or service (together, the "Software"), you agree to this entire Disclaimer and Terms of Use. If you are using the Software on behalf of a company, you confirm you have the authority to accept these terms for that company.

02Provided "as is" — no warranties

The Software is provided "as is" and "as available," with all faults, and without warranty of any kind. To the fullest extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise — including any implied warranties of merchantability, quality, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Software will be accurate, reliable, uninterrupted, secure, error-free, or that it will meet your requirements or work with your systems.

03You use it entirely at your own risk

You understand that Pulsatrix is built to let artificial intelligence read from and make changes to real, live business systems — including ticketing, billing, quoting, remote management, and remote command execution on computers. You knowingly and voluntarily assume all risk arising from using the Software for any purpose whatsoever.

This includes, without limitation, the risk of incorrect, unintended, destructive, or irreversible actions; data loss or corruption; downtime; financial loss; billing or invoicing errors; communications sent to the wrong people; and harm to your relationships with your own clients.

04We are not liable — limitation of liability

To the fullest extent permitted by applicable law, in no event will Pulsatrix, its creators, owners, developers, contributors, officers, employees, agents, or affiliates (together, the "Pulsatrix Parties") be liable to you or anyone else for any loss or damage of any kind arising out of or related to the Software or your use of (or inability to use) it.

To the maximum extent permitted by law, the Pulsatrix Parties shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages; nor for any lost profits, lost revenue, lost data, business interruption, loss of goodwill, regulatory penalties, or costs of substitute products or services — even if a Pulsatrix Party has been advised of the possibility of such damages, and regardless of the legal theory on which the claim is based.

Where liability cannot be excluded by law, the total combined liability of the Pulsatrix Parties for all claims relating to the Software is limited to the amount you actually paid us for the Software in the 12 months before the claim.

If using Pulsatrix ever causes you a loss of any kind, we don't owe you for it. If a law says we must owe something, the most we'd ever owe is capped at what you paid us.

05What you are responsible for

You are solely responsible for how you set up and use the Software, including:

  • Reviewing every action before you approve it. You decide what runs.
  • Testing in a safe environment before using it on production systems or real client data.
  • Keeping working, tested backups and a way to recover if something goes wrong.
  • Configuring access, permissions, and security correctly for your environment.
  • Complying with all laws, regulations, and contracts that apply to you and your clients (including privacy, data-protection, and consumer-protection rules).
  • Everything done through your accounts, devices, and approvals — whether by you, your staff, or anyone you allow to use the Software.

06The approval step does not shift responsibility to us

The Software is designed so that high-risk actions wait for a human to approve them. This is a safety feature for your benefit — it is not a guarantee, and it does not make us responsible for what happens. When you (or anyone using your setup) approve an action, you are making the final decision, and you accept responsibility for the result.

You also accept that the approval feature itself may fail, be bypassed, be misconfigured, or behave unexpectedly, and that you remain responsible regardless.

"Approve" means you said yes. That's your call, and its consequences are yours — even if the approval system itself has a bug.

07AI and automation can make mistakes

The Software uses artificial intelligence and automation. AI can be wrong, can "hallucinate," can misunderstand instructions, and can produce results that look correct but are not. Outputs may be inaccurate, incomplete, biased, or inappropriate. You must independently verify anything important before relying on it. We do not warrant the accuracy or suitability of any AI-generated output.

08It controls live systems

Pulsatrix can connect to and operate live systems — including ConnectWise PSA, RMM, CPQ, and ScreenConnect — and can request and run commands on computers, locally or remotely. These are powerful capabilities that can change, delete, bill, or break things in ways that may be permanent and impossible to undo. You accept this risk in full and agree that we are not responsible for any such outcome.

It can touch real systems and real computers, and some changes can't be reversed. Treat it with the same care as handing the keys to a new technician.

09Third-party services & AI models

The Software works alongside third-party products and services that we do not own or control — for example, ConnectWise products, AI / language-model providers, operating systems, and networks. We are not responsible for those third parties, their availability, their pricing, their terms, their changes, or anything they do or fail to do. Your use of them is governed by their own agreements, and any trademarks belong to their respective owners. We are not affiliated with, endorsed by, or sponsored by ConnectWise.

Other companies' software (like ConnectWise or your AI provider) is their responsibility, not ours.

10Your data and your clients

You are responsible for the data you process with the Software and for the privacy and rights of your clients and their end-users. You confirm you have the necessary permissions and legal basis to let the Software access, process, and act on that data. We are not responsible for any data exposure, loss, or misuse, however it arises.

11Not professional advice

Nothing produced by or through the Software is legal, financial, accounting, tax, security, medical, or other professional advice. Do not rely on it as such. Get qualified professional advice for decisions that need it.

12You hold us harmless (indemnification)

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Pulsatrix Parties from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Software, your configurations and approvals, your data, your clients, or your breach of these terms. This includes claims brought by your own clients or any third party.

If someone (including your own client) sues us because of how you used Pulsatrix, you cover us — including our legal costs.

13Beta software

The Software may be provided as a pre-release, beta, or evaluation version. It may be incomplete, unstable, or changed or discontinued at any time without notice. Beta software carries a higher risk of errors and data loss, and you accept that risk by using it.

14No guaranteed support or uptime

Unless you have a separate written agreement with us that says otherwise (for example, a paid support or subscription plan with defined service levels), we do not promise any support, updates, fixes, response times, or uptime. Any help we provide informally is given without obligation or liability.

15Changes to this disclaimer

We may update this Disclaimer and Terms of Use at any time. The version posted here, with its "last updated" date, is the one that applies. If you keep using the Software after a change, you accept the updated terms.

16If part of this can't be enforced

Each part of this document is meant to apply as broadly as the law allows. If a court finds any part invalid or unenforceable, that part will be reduced to the minimum extent necessary, and the rest stays in full force. Nothing here is intended to exclude or limit any liability that cannot legally be excluded or limited (such as, in some places, liability for gross or intentional fault or for bodily injury).

17Governing law

This Disclaimer and Terms of Use are governed by the laws of the Province of Québec and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You agree that the courts located in judicial district of Trois-Rivières, Québec have exclusive jurisdiction over any dispute, to the extent permitted by law.
